Job Description
Experience: 1 to 3 years in the areas of general corporate law, technology focused commercial transactions, mergers and acquisitions, and contracts.
Qualifications:
A strong interest in or experience with technology-driven corporate transactions.
Experience with mergers and acquisitions, commercial agreement review and negotiation, and/or corporate governance.
Understanding of or interest in SaaS and cloud service agreements, IP licensing, data privacy and protection regulations (including GDPR, CCPA, and state privacy laws), artificial intelligence, and technology-related regulatory frameworks.
Familiarity with entity formation and ongoing corporate compliance.
Ability to support multiple clients, matters, and deadlines in a fast-paced environment.
Responsibilities:
Assist team in all areas of corporate and commercial law and a broad range of technology-focused transactions, including software and licensing, SaaS and cloud service agreements, subscription agreements, professional services and consulting agreements, market data agreements, website terms, and technological aspects of mergers and acquisitions.
Draft, and review corporate documents, including formation documents, bylaws, board resolutions, operating agreements, shareholder agreements, merger and acquisition agreements, technology focused commercial contracts, privacy notices and data protection agreements.
Conduct technology and data privacy focused due diligence reviews as part of mergers and acquisitions team.
Evaluate the compliance of corporate policies, technology operations, and data handling practices with applicable laws, government regulations, industry standards, and ethical requirements.
Perform legal research on corporate, technology and regulatory matters.
Coordinate with clients, opposing counsel, and internal teams under supervision of senior attorneys.
Participate in client meetings and contribute to business development efforts, as appropriate.
Requirements:
Juris Doctor (J.D.) from an accredited law school.
Strong academic credentials.
Excellent technical, written, and verbal communication skills.
Ability to work collaboratively with other practice areas to provide comprehensive solutions to clients.
Salary: $125,000 to $137,000
A competitive compensation and comprehensive benefit package, including medical, dental, vision, life, long term disability, flexible spending, 401(k), Paid Time Off, pension plan, and more. At this time, the good faith estimate of the annual salary range for this position, if the successful applicant is based in Buffalo, is $125,000 to $137,000. Where a successful applicant is slotted within this range will vary based on legitimate criteria, such as experience and skill level. This range is not applicable to other locations.
