Job Description
Dechert LLP seeks a talented mid-level associate (3-6 years) to join our growing Corporate Governance and Special Committee practice. This role offers the opportunity to work on sophisticated, board-level matters involving fiduciary duties, special committees, activism defense, M&A, governance, and Delaware Court of Chancery litigation.
Key Responsibilities
- Advise boards of directors, special committees, management, and significant stockholders on corporate law issues, including fiduciary duties, conflicts of interest, and process design for complex transactions and other matters involving litigation risk
- Support special committee representations in conflict transactions, including going-private deals, management buyouts, and interested stockholder transactions
- Assist clients with activism preparedness, including bylaw reviews, advance notice provision analysis, and governance audits
- Advise on M&A transactions, including deal structuring, board process, disclosure obligations, and litigation risk management
- Research and advise on cutting-edge corporate law developments and their implications for clients
- Draft board materials, legal opinions, and client memoranda
- Support Delaware Court of Chancery litigation matters
- Collaborate with partners across Corporate & Securities, Financial Services, Litigation, and other practice groups to provide high-level, strategic advice on integrated client matters
We are looking for:
- J.D. from a top-tier law school with excellent academic credentials
- 3-6 years of experience at a major law firm with significant Delaware corporate law exposure
- Strong understanding of Delaware General Corporation Law, fiduciary duties, and Court of Chancery practice
- Experience with Nevada corporate law will be given additional consideration
- Experience with special committees, conflict transactions, or M&A matters preferred
- Exceptional legal research, writing, and analytical skills
- Ability to work independently and manage multiple matters simultaneously
- Strong client service orientation and business judgment
- Commitment to collaborative, team-based practice
- Admission to California bar; Delaware or Nevada bar admission a plus but not required
