Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. seeks an associate with 3-5 years of corporate law experience to join its Corporate Practice Group in Baltimore. The candidate will have experience representing clients in mergers and acquisitions, drafting and negotiating commercial agreements, and advising on corporate governance and entity management matters. This position offers the opportunity to work on sophisticated transactions and collaborate closely with clients and attorneys across the Firm. The ideal candidate will have meaningful experience handling M&A transactions, including due diligence, drafting transaction documents, preparing disclosure schedules and ancillary agreements, and coordinating signing and closing activities. Experience supporting both buy-side and sell-side transactions is preferred. The candidate should also be comfortable drafting, reviewing, and negotiating a variety of commercial agreements, including master services agreements, consulting agreements, independent contractor agreements, nondisclosure agreements, and vendor agreements. In addition, the candidate will assist clients with entity formation and maintenance matters and will prepare and review corporate governance documents, including operating agreements, shareholder agreements, bylaws, consents, resolutions, amendments, and related organizational documents. Qualified candidates will possess strong drafting, analytical, and problem-solving skills, excellent attention to detail, sound legal judgment, and the ability to manage multiple matters and deadlines effectively. The candidate will be able to work independently while collaborating closely with clients and colleagues in a team-oriented environment. Admission to the Maryland Bar, or eligibility for admission in Maryland, is required. The salary range for this position is $205,000 - $235,000 per year, depending on experience and qualifications.
