<h2>About the Role</h2>
Armada is&nbsp;seeking&nbsp;a pragmatic, business-minded Senior Corporate Counsel to join our Legal team, reporting directly to the Head of Legal. This is a high-impact role for a seasoned attorney who thrives in fast-moving environments and wants to own significant workstreams across corporate governance, strategic transactions, commercial matters, and operational legal support.&nbsp;
As Senior Corporate Counsel, you will serve as a trusted advisor to leadership and cross-functional stakeholders across Finance, People, and Operations, helping Armada scale responsibly and efficiently. You will independently lead a wide range of legal initiatives, including corporate governance, strategic transactions and financing, entity management, and corporate legal operations, exercising judgment on complex matters where established precedent may not fully apply.&nbsp;
This role is ideal for an attorney who combines deep legal&nbsp;expertise&nbsp;with sound business judgment and is excited to build the policies, processes, and playbooks that will scale with a rapidly growing technology company.&nbsp;
<h2>What You’ll Do</h2>
<ul>
<li>Own corporate governance matters, including preparation of board and committee materials, resolutions, minutes, and consents, and maintenance of corporate records across the corporate group.&nbsp;</li>
<li>Lead legal workstreams for strategic transactions, including mergers and acquisitions, investments, financing transactions, and strategic partnerships; independently manage diligence, structuring support, and documentation from&nbsp;inception&nbsp;through close.&nbsp;</li>
<li>Drive subsidiary management and entity governance across domestic and international&nbsp;jurisdictions, including formations, qualifications, annual filings, and compliance obligations; direct local counsel to ensure entities&nbsp;remain&nbsp;in good standing.&nbsp;</li>
<li>Manage equity-related matters, including equity award documentation, cap table coordination, 409A processes, and employee equity programs, advising People and Finance stakeholders on complex equity questions.&nbsp;</li>
<li>Develop and implement corporate policies, compliance programs, and risk management processes as Armada scales globally, including policies governing insider trading, conflicts of interest, and corporate conduct.&nbsp;</li>
<li>Serve as a primary legal advisor to Finance, People, Operations, and business leaders on corporate and operational legal matters, adapting guidance to diverse audiences and driving alignment across stakeholders.&nbsp;</li>
<li>Select, direct, and manage outside counsel on corporate, employment, compliance, and transactional matters, ensuring quality and cost efficiency.&nbsp;</li>
<li>Design and own legal templates, playbooks, workflows, and operational processes that drive efficiency and scalability, and guide their adoption across the company.&nbsp;</li>
<li>Provide practical, business-oriented legal advice on complex issues that&nbsp;balances&nbsp;risk management with execution velocity, exercising independent judgment where facts are ambiguous and precedent is limited.&nbsp;</li>
<li>Mentor and support more junior legal team members and cross-functional partners as the Legal function grows.&nbsp;</li>
<li>Contribute across a wide variety of legal and operational projects in a collaborative, high-ownership environment. Armada moves fast and priorities shift; flexibility and good judgment are essential.&nbsp;</li>
</ul>
<h2>What We’re Looking For</h2>
<ul>
<li>J.D. from an accredited law school and active membership in at least one U.S. state bar&nbsp;</li>
<li>6+ years of relevant legal experience, including training at a top law firm; meaningful in-house experience at a high-growth technology company strongly preferred&nbsp;</li>
<li>Deep&nbsp;expertise&nbsp;in corporate law, commercial transactions, and corporate governance&nbsp;</li>
<li>Demonstrated&nbsp;track record&nbsp;independently leading strategic transactions, financing matters, and M&amp;A from diligence through close&nbsp;</li>
<li>Exceptional drafting, negotiation, organizational, and project management skills, with the ability to run multiple complex workstreams in parallel&nbsp;</li>
<li>Ability to distill complex legal concepts into practical, decision-ready guidance for executives and business stakeholders&nbsp;</li>
<li>Proven ability to&nbsp;operate&nbsp;autonomously in a fast-paced, evolving environment,&nbsp;determining&nbsp;approach and methods on new matters with minimal oversight&nbsp;</li>
<li>Experience building legal processes, policies, and playbooks from the ground up&nbsp;</li>
<li>Strong attention to detail with a proactive, solutions-oriented mindset&nbsp;</li>
<li>Collaborative team player with excellent judgment, persuasion, and communication skills; recognized as a go-to resource on complex matters&nbsp;</li>
<li>Excited to work in a high-growth environment where no task is too big or too small&nbsp;</li>
<li>Interest in infrastructure, AI, emerging technologies, or high-growth technology businesses is a plus&nbsp;</li>
